A copper physical bitcoin coin resting on dark slate — Strategy's 848,517 BTC treasury sits 2.9% above its 75,446 dollar average cost

Strategy reported third-quarter results after Thursday's close and the headline was almost absurd: $19.53 billion of net income, $44.75 of diluted earnings per share against a consensus near $8.17, and the largest operating profit in the company's history at $20.91 billion. Almost none of it came from the business. It came from a $20.91 billion gain on digital assets — an accounting mark on the 848,517 bitcoin on the balance sheet, not a dollar collected from a customer.

The operating business is 0.6% of the print

Total revenue was $125.4 million, down 3% from a year earlier and short of the $127.2 million analysts expected. Gross profit was $89.6 million at a 71% margin — a perfectly healthy software company, and a rounding error next to a $20.91 billion operating line. That ratio is the whole argument about Strategy in one number: revenue is 0.6% of operating income, and the bitcoin mark is effectively all of the rest.

The metric Strategy grades itself on went negative

The company publishes a BTC Yield, the growth in bitcoin per share, and its own year-to-date number is (3.7)%. BTC Gain — coins added net of dilution — is negative 24,947 bitcoin, and the dollar version of that metric is a $2.03 billion loss measured at the October 23 price of $81,200. Strategy did buy aggressively: the stack is up 26% this year after $14.33 billion of purchases. But it also raised $21.23 billion of equity capital, the fourth-largest equity issuer in the United States this year, and the share count grew faster than the coins. In the third quarter alone MSTR rose 76% while bitcoin rose 43% — the stock outperformance was paid for in paper.

The cash went into the preferred stack, not into bitcoin

At October 25 the company held $5.07 billion of dollar assets, a $4.83 billion USD Reserve plus $242.4 million of USD Cash, which management says covers 3.4 years of preferred dividends and interest. Year to date it retired 20,980,508 STRC shares for roughly $2.04 billion at an average of $97.39, a 2.6% discount to the $100 stated amount, with about $956.7 million of authorization left and an explicit intention to keep buying while STRC trades below par. The coupon has been held at 12.00% to keep the security near $100, $1.48 billion of preferred dividends have been paid to date, and after shareholder approval on October 28 STRC moves to daily dividends from November 1, with STRF, STRK and STRD following on January 1, 2027.

And it sold bitcoin to fund the coupon

Buried in the same release is the part that matters for the tape: Strategy has sold approximately $431.8 million of bitcoin this year to fund preferred dividends and STRC repurchases. The board also authorizes sales of up to $1.25 billion of bitcoin to fund the USD Reserve, plus sales to cover dividends and interest as they come due and to fund buybacks of MSTR or the digital credit securities. In the week to October 25 the company bought zero bitcoin, sold zero, sold nothing through its at-the-market program, and spent $204.9 million on 2,068,459 STRC shares. Fourth quarter to date that is $459.2 million into its own preferred stock against $72.3 million into 851 bitcoin, more than six to one.

The line that decides: $75,446

The 848,517 coins cost $64.02 billion, an average of $75,446 including fees. At the $81,200 price used in the filing the treasury was marked at $68.90 billion. Bitcoin has since slid to $77,613 on Binance, which puts the stack at about $65.86 billion, or $1.84 billion and 2.9% above cost. Every $1,000 move in bitcoin is worth roughly $849 million against that cushion. A print below $75,446 forces nothing, but it does mean the average coin was bought above the market, while the 12% coupon is still part paid by selling the asset itself.

What Saylor says comes next

On the call Michael Saylor called this the beginning of the next bitcoin bull market, noted that bitcoin trades 21% above its 200-week moving average, and put the digital credit book at $16 billion of notional across ten listed securities with 84% market share. He told analysts the company could create $10 billion, $20 billion or $30 billion of digital credit without selling more common stock: preferred shares are the growth engine now. The market was less convinced. MSTR closed Friday about 6.4% lower near $132.60, is down 8.5% over five sessions, sits well under its $286.18 high, and trades a fraction of the $229.87 average analyst target. Andrew Kang steps down as chief financial officer on November 5, with chief executive Phong Le acting as principal financial officer until Reza Virasteh takes the seat on January 1, 2027.

The company also flagged that it expects its preferred distributions to be treated as a non-taxable return of capital for a decade or more, because it does not expect positive accumulated earnings and profits. For income investors that is the pitch; for everyone else it is a reminder that the yield is funded from the balance sheet rather than from operations, and that the week's exchange hack has made the whole market more careful about where coins actually sit.

The three numbers that matter now

Whether BTC Yield turns positive again, because the entire equity story rests on bitcoin per share growing rather than shrinking. Whether STRC keeps trading below $100, because every week below par is another week of cash going into buybacks instead of coins. And whether bitcoin holds $75,446, the average cost of the largest corporate treasury in the world, with a 12% coupon and $431.8 million of realised sales on the other side of the ledger. Strategy is no longer the company that buys every week. It is a company servicing a dividend with bitcoin, and the scoreboard already reads minus 3.7%.
