Microsoft and Alphabet Opted Out of Tokenized Stocks — 16 Objections, 47 Silent, and a 30-Day Clock That Ends in November

Sixteen U.S. issuers, Microsoft and Alphabet among them, blocked tokenized shares on OKXICE. The 47 that stayed silent will decide whether 24/7 equities launch.

Sixteen U.S.-listed companies have now told the SEC's newest equities venue that they do not want their shares trading on it. The 19 October notice from OKXICE reads like a slice of the S&P 100: Microsoft, Alphabet, Goldman Sachs, Qualcomm, Caterpillar, McDonald's and Western Digital joined nine earlier objectors that include Broadcom, Verizon, UnitedHealth Group and CoreWeave (CoinDesk).

OKXICE is the joint venture between crypto exchange OKX and Intercontinental Exchange, the parent of the New York Stock Exchange, unveiled in June and co-chaired by former New York governor Andrew Cuomo. It wants round-the-clock trading in 63 U.S. tickers through permissioned Uniswap v4 pools on OKX's X Layer, each token paired with USDC, USDG or USDT and backed by a share held at a registered broker-dealer. No launch date has been published (Cointelegraph).

The opt-out is a 30-day silence test

The legal footing is the SEC's Innovation Exemption, an exemptive order issued on 17 September that runs for five years and frees qualifying venues from exchange registration. It does not require an issuer's permission. The venue notifies the company, and 30 calendar days later it can list the token unless the company objects in writing. An objection is binding: the venue “cannot make such Tokenized NMS Stock available for trading”, and it has five business days to update its public notice (the order, as summarised here).

“There's not a proactive consent right. Rather, it is a reactive right to object,” Erin Martin, a partner at Morgan Lewis who spent more than a decade as a senior SEC lawyer, told Fortune. Silence is consent, and that single design choice is what makes this the biggest live experiment in U.S. equity market structure since decimalisation.

What the 16 objections actually remove

Fifteen of the sixteen objectors sit on the original roster. Alphabet occupies two of the 63 tickers, GOOG and GOOGL. Cerebras, the first company to object back on 4 October, was never on the list and has since been dropped from it entirely.

The notice has grown in four waves: one objection on 4 October, three more on 8 October (AppLovin, Applied Digital, Rocket Lab), five on 15 October, and seven on 19 October. Cointelegraph put the opt-out rate at roughly a quarter of the 62 companies named on day one — before the venue has traded a single share.

The 47 who said nothing

Nvidia, Tesla, Apple, Amazon, Coinbase and JPMorgan are all still on the roster with no objection on file. That is not an endorsement, and several of them have said nothing at all about tokenization. It is simply the default the order creates: no letter, no block.

The model was designed to give companies the right to determine whether they want to opt in or opt out. — Andrew Cuomo, OKXICE co-chair

Why an issuer says no

Applied Optoelectronics, a fiber-optic maker on the list, gave the Wall Street Journal its reasoning: it could not gauge what tokenization would do to its share price, liquidity and volatility, and saw no clear upside “to AOI or our shareholders”.

The order itself names two of those risks. One is keeping the shareholder register accurate while tokens change hands onchain. The other is the price gap against the underlying stock, because an AMM pool's price is “most likely based only on the ratio of the quantities of assets in that liquidity pool”. A company whose shares trade in a pool does not control the depth of that pool.

A venue objection is not a verdict on tokenization

Securitize launched 12 tokenized U.S. stocks for U.S. investors on 8 October and expects them to trade on OKXICE. Microsoft and Alphabet are both on that list, and their OKXICE objections do not touch it — which is the tell that these letters are about venue choice, not about blockchain. There is no blanket opt-out either: a company cannot file one notice covering every venue that might list it.

Nasdaq, which is not among the 16, says it remains committed to tokenization and already holds an SEC-approved tokenized equities pilot. Coinbase's onchain stock product and the DTCC's treasury work are moving on separate tracks entirely (CNBC).

November is the first clock, and a second one is already running

The OKXICE notice is dated 4 October, so the window for the names that stayed silent closes in the first days of November. Perpetuals.com, listed on Nasdaq as PDC, became the second filer on or about 14 October, running USDC pools on its own Kronos X layer-2, with its own 30-day window and its own objection list to build. Every new venue restarts the clock, and every issuer has to decide again.

“There are going to be a lot of companies that say we don't want to be the first,” Cuomo said on Tuesday's call, adding that there will be more objections. He is almost certainly right, and the exemption has five years left to generate the record the SEC will use for permanent rules.

The number that matters for the next six months is not 16. It is 47 — the companies that have neither objected nor endorsed anything, sitting on a rule that turns their silence into a listing. If a quarter of the first roster opts out of the first venue, the binding constraint on 24/7 equities is not the AMM. It is the transfer agent and the register.
